Terms of Service
Effective date: [REVIEW: effective date]
Draft. This document is under review and is not final.
These Terms of Service ("Terms") are an agreement between you and [REVIEW: legal entity / LLC name] ("we", "us"), the operator of Rin Chat.
Read them before you install the app or buy a subscription. If you do not accept them, do not use the service.
[REVIEW: confirm this draft with counsel before launch.]
1. The service
Rin Chat is a desktop application for roleplay and creative writing. It runs on your own computer and stores your content on your own device.
We also offer an optional paid subscription. A subscription provides credits for AI generation through our hosted proxy. You may instead connect your own AI provider and use the app without a subscription.
2. Eligibility
You must be at least [REVIEW: minimum age, commonly 18] years old to buy a subscription.
You must have the legal capacity to enter into this agreement, and you must not be barred from using the service under applicable law.
3. Your account
A subscription requires an account. You are responsible for the credentials of that account and for all activity under it.
Tell us promptly if you believe your account was used without your permission.
The app also protects your local data with a password and an encryption key. We do not hold that password and we cannot recover your local data for you.
4. Acceptable use
You agree not to use the service to do any of the following.
- Break any applicable law or regulation.
- Infringe the intellectual property or privacy rights of another person.
- Attempt to gain unauthorized access to the service, to our systems, or to another user's account.
- Resell, relay, or share access to the hosted AI proxy outside the app.
- Interfere with the service, or place an unreasonable load on it.
- [REVIEW: add any use restrictions required by our AI provider's own terms.]
5. Your content
You keep ownership of the characters, chats and other content that you create. We claim no ownership of it.
Content that you create in the app is stored on your device. When you use the hosted proxy, the text of your request is transmitted to the AI provider so that it can produce a response.
You are responsible for the content you create and for the prompts you send.
6. Third-party AI providers
The app can connect to third-party AI providers. Those providers have their own terms and their own privacy practices, and we do not control them.
When you use your own API key, your relationship for that usage is with that provider, not with us.
AI output can be inaccurate. Do not rely on it as professional advice of any kind.
7. Subscriptions and billing
Subscription prices are shown on the pricing page. Payment is processed by our payment processor, [REVIEW: payment processor name, e.g. Stripe].
A subscription renews automatically each billing period until you cancel it. You may cancel at any time, and the cancellation takes effect at the end of the current period.
We may change prices. We will give notice before a change applies to your renewal. [REVIEW: notice period, e.g. 30 days.]
Refunds are governed by our Refund Policy.
8. Credits and fair use
A subscription includes an allowance of AI usage credits for each billing period. Credits do not roll over, and they have no cash value.
We may apply reasonable limits to protect the service from abuse. [REVIEW: state the concrete limits once they are final.]
9. Software licence
We grant you a personal, non-exclusive, non-transferable licence to install and use Rin Chat on devices you control.
You may not reverse engineer, modify, or redistribute the software except where the law expressly allows it. [REVIEW: align with the app's actual licence.]
10. Suspension and termination
We may suspend or end your access if you break these Terms, or if we must do so to comply with the law.
You may stop using the service at any time. The app continues to work with your own API key after a subscription ends.
11. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind to the extent the law permits.
We do not warrant that the service will be uninterrupted, or that AI output will be correct or fit for a particular purpose.
12. Limitation of liability
To the extent the law permits, we are not liable for indirect, incidental, special or consequential damages, or for lost data or lost profits.
Our total liability is limited to the amount you paid us in the [REVIEW: e.g. twelve] months before the event that caused the claim.
13. Changes to these Terms
We may update these Terms. We will post the updated version here and change the effective date.
If a change is material, we will give notice before it takes effect. [REVIEW: notice method and period.]
14. Governing law
These Terms are governed by the laws of [REVIEW: state / country of incorporation], without regard to conflict-of-law rules.
[REVIEW: dispute resolution — courts, arbitration, class-action waiver.]
